摘要

全球经济一体化趋势下,中国与其他国家之间的经济贸易往来日益频繁。合同作 为保障签约双方权益的法律手段和依据,在社会经济活动中起着非常重要的作用。这 种趋势也使得对合同文本翻译的需求量增加。在英文合同翻译实践中,客户对合同文 本译文质量的要求往往体现在准确和通顺两个方面。准确和通顺分别涉及到理解和表 达这两大翻译过程。因此,本文首先阐述了英文合同文本的语言特点,指出合同文本 属于法律文件中的一种形式,具有严谨缜密的法律文本语言特征。其次,指出法律文 本在词汇、句子结构和篇章风格各个层面上的特点,为原文理解和译文表达上都带来 了一定的难点。第三,从案例分析入手,分别对理解和表达过程中易犯的常见错误进 行了分类和分析,并提出一些应对策略,指出合同文本的翻译要体现出其内在的法律 精神和契约文体特点。

Abstract

With the globalization and further economic development, the economic and trade exchanges between China and foreign countries have become increasingly frequent. Signing contracts plays a very important role in economic activities, as it is a common legal means to protect the rights of concerned parties. Under this economic background, the demand for English-Chinese translation of contract texts is also increasing enormously. As for the quality requirement for the translation of contract texts, according to the feedback received from clients, it is obvious that clients are particularly concerned about the accuracy and fluency of translation texts.

The thesis firstly describes the characteristics of English contract texts, covering vocabulary, sentences and text style of discourse levels. Secondly, it points out that the language features of legal document texts lead to the difficulty in comprehension of English contract texts, which further result in unnatural and unreadable translation. Thirdly, the thesis sorts out some examples and analyzes some common mistakes occurred in the comprehension and expression process respectively, which are two main processes in the translation practice. Finally, the thesis provides some practical countermeasures for English-Chinese translation of contract texts.

引言

随着中国加入世贸组织和改革开放的进一步深化,中国与其他国家之间的经济往 来势必更加密切。签订公平合法的合同是明确签约双方各自权利与义务、保障各方利 益和顺利开展业务的前提和保障。这种国际经济活动的频繁带来了对合同文本翻译的 巨大需求。本文中探讨的合同翻译只涉及英文合同的翻译问题。

译者在对合同文本进行翻译时,不仅要有良好的理解能力和高超的双语转换表达 能力,还需要对合同对应项目所涉及的相关业务的专业知识和法律知识有所了解,充 分意识到合同作为法律文件所具有的规范性和法律效力,切实牵涉合同双方的切身经 济利益。这些都对译者的素质和译文的品质提出了更高的要求。因此,如何提高合同 文本的翻译质量也成为一个具有现实意义的课题。

笔者在创凌翻译服务有限公司实习期间,参与了若干合同文本的英汉翻译项目, 翻译了专业服务项目协议、服务购买协议等合同文本,得到了很好的训练。在这些面 向客户的真实翻译项目的实践过程中,笔者意识到要想提高合同文本的翻译能力,必 须解决以下几个问题:1.把握合同文本的法律文本语言特点和文体风格;2.注重对法 律等相关领域专业知识的积累;3.通过调查研究和逻辑分析解决理解问题,培养批判 性思维能力;4.提高英汉双语转化能力,准确而通顺地将源语转化为译语。

合同文本具有法律文本的特征。在法律翻译实践中,由于不同法系之间存在着巨 大的差异,实现法律内容或内涵的对等才是最重要的。这种对等,体现了尤金•奈达 的动态对等翻译观。这就要求译者在从事法律文本翻译实践过程中,着眼于正确理解 原文的意义和精神,从原文的意义和内在法律逻辑出发进行翻译,而不是拘泥于原文 的形式对等,体现了灵活性的翻译原则。

由于种种原因,在实际的法律翻译实践中,合同作为一种常见的法律文本,其翻 译品质尚存在一些不足。如何提高译者的翻译素质和译文质量,是所有从事合同翻译 活动的译者面临的课题。笔者试图从翻译实践中遇到的常见错误出发,从真实案例项 目中抽取典型例子,通过原译和改译的对比进行分析,从理解和表达两方面重点探讨, 总结出适合合同文本翻译的一些对策,以期对专业翻译提供一定的借鉴作用。

第一章概述

(一)研究背景

英文合同翻译实践中,客户对译文的要求无外乎围绕两个方面:准确和通顺,反 馈时也无外乎是指出哪些地方译错了,需改动;哪些地方不通顺,需改动。“译错了” 涉及的是理解问题,“通顺”涉及的是表达问题。可见理解和表达是做好合同文本英 汉翻译的两个重要步骤。

英文合同翻译过程中,存在不少翻译困难和挑战,这是由于英文合同本身的语言 特点和文体风格所导致的。这些特点分别体现在词义选择、句子理解和篇章结构风格 把握等方面。正是这些难点导致了在英文合同翻译过程中,容易出现理解错误和表达 不畅。本文试图从理解和表达两个角度来探讨一下合同文本翻译中的常见错误,并提 出相应对策。

(二)英文合同文本的语言特点

合同类法律文件是约定当事人权利责任和义务的文件,具有法律效力。其语言不 同于日常语言,行文往往用词准确严谨,句子复杂冗长,语言正式规范,体现出逻辑 的精确性与严密性、表述的专业性与规范性以及思维的清晰性和条理性。英文合同文 本从词汇、句法等层面体现出严谨缜密的法律文本语言特征。

首先,英文合同中经常大量使用专业术语和法律行话,专业性强。在英文合同文 本中,常常出现以下情况:1.普通词具有专业行业意义;2.频繁使用古旧词汇(包括 拉丁词汇、法语词汇);3.大量使用专业术语与法律行话;4.同义词、近义词、相关词 的并列使用等等。

其次,英文合同中大量使用长句,修饰成分众多,句子复杂。英文合同中的长句 比比皆是,这主要是因为合同行文要求严谨,往往在一个句子中大量使用表示限定的 附加成分和插入成分,进行解释、说明、限定或补充等功能。既能体现合同的书面正 式文体风格,又体现出合同的结构严谨和内在逻辑关系清晰,有助于减少对合同的误 解或曲解,尽可能地避免合同纠纷。

第三,英文合同篇章结构严谨,语体庄重正式。译者可以充分利用平行文本,比 较国外英文合同与国内中文合同的格式,然后从篇章整体结构、句式结构和用词三个 方面理解两种文本的异同,体会英文合同的语言特点。尤其应关注中文合同一般未包 括的而同类英文合同协议中又常约定的合同事项,有助于译者从整体上把握英汉两种 合同文本的语言特点,从而更好地提升译文质量。

(三)合同文本英汉翻译过程

翻译过程一般可分为理解、表达和校对三个阶段。在合同文本英汉翻译过程中, 正确理解原文和通顺规范地表达译文是两大基本要求。在翻译实践中,理解和表达并 非截然分开的两个阶段,译者在理解的同时,也在考虑如何遣词造句;而译者在表达 的时候,又能加深对原文的理解。所以说理解是表达的前提,表达是理解的具体化、 深刻化。

理解阶段的任务主要是正确理解原文内容,理顺逻辑关系,为表达阶段的遣词造 句打好基础。在英文合同文本中,一词多义现象、复杂长句比比皆是,这些都要求译 者有良好的英语理解能力;而相关法律术语、专业词汇的使用,则要求译者熟悉法律 背景知识和其他相关专业知识;合同文本篇章结构具有庄重书面的文体风格,还要求 译者在理解阶段就体会和把握好文体风格偏向。

通顺而规范的表达首先取决于译者对原文的正确理解。但是理解正确未必能够做 到通顺而规范的表达。这要求译者有一定的表达技巧,在表达时能够深刻认识到英汉 思维、文化和语言上的差异,做到重视上下文,避免孤立处理词句;理顺逻辑关系, 摆脱原文表层结构的束缚;从汉语表述习惯出发,表达灵活流畅,提高译文可读性; 遵循合同的文体特点,选择恰当得体的文体风格。

 

第二章合同文本英汉翻译中常见理解错误实例分析

在英文合同文本翻译活动中,正确理解原文是准确、通顺而规范地表达的前提。 所谓理解主要体现在弄清楚合同原文中词语的意义、正确理解原文句子结构、透彻把 握上下文逻辑关系等方面。

(一)词义理解错误实例分析

英文合同文本翻译过程中,对原文中的词汇的理解失误,往往因为不熟悉相关 法律背景意义的词汇,尤其是常见词汇的法律词汇意义、不了解相关专业术语的含义、 缺乏逻辑判断能力等原因造成的。在法律英语中,有些词汇形式上是普通词形态,但 是其意义却是属于法律词汇。这样的词汇往往都是普通英语词汇中的多义词,需要通 过一定的语境或上下文的帮助下理解原文意思后,才能确定其词义。

例1:

原文:NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT

原译:任何一方均无需因本协议而导致的任何间接、特殊、偶然、衍生、惩戒或 惩罚性损害负责……

改译:任何一方均无需就另一方因本协议而发生的任何间接、特殊、偶然、衍生、 惩戒或惩罚性损害赔偿承担责任……

分析:原译中译者将”damages”混淆为”damage”, “damages”看似是”damage” 的复数形式,但我们应该注意到,“damage”当名词讲时,意为“损害、损失、破坏、 毁坏”等,实为不可数名词,因此,将“damages”想当然地认为成是“damage”的 复数形式是错误的。原译者由于缺乏足够的法律专业知识,而面对的又是看似常见的 词汇,便想当然地按照该词平时的意义去翻译,这类错误非常危险,因为译者即使翻 译完整个文件后再返回检查,也很有可能发现不了这种错误。

实际上,“damages”是一个法律术语,根据 Black’s Law Dictionary, “damages” 的定义为:“Money claimed by, or ordered to be paid to, a person as compensation for loss or injury”,所以此处的“damages”应当译为“损害赔偿”或者“损害赔偿金”。整句 的大意是:如果一方因本协议而向其他方作出损害赔偿(或支付损害赔偿金),另一 方对此不向该方承担任何责任。原译中的“损害”一词,貌似可以理解为作出损害赔 偿后遭受的损失或损害,但其内涵与外延均与“damages” 一词相去甚远,远远无法 达到合同文本所要求的准确性。

例2:

原文:The Parties have on [to be added] 2013 agreed on a Non-Disclosure Agreement which is hereby referenced and incorporated into this Agreement.

原译:双方于2013年[月 日]就一项保密协议达成一致意见,该保密协议作

为参考并被包括进本协议。

改译:双方于2013年[月 日]就一项保密协议达成一致意见,该保密协议以

引用方式纳入本协议。

分析:“reference”最常见的意思就是“参考”,但此处的“reference”并非“参 考”之意,而是另外一个意思,即“mention”,可译为“提及、引用、参引”等。实 际上,法律英语中有一个术语叫做”Incorporation by Reference”, 一般译为”引置”, 所以法律专业中有“引置条款” 一说,引置条款是指以引用、提述的方式将其他相关 文件或内容置入或纳入当前协议中,使其成为当前协议的一部分,而无需再将全文抄 录与此。因此,原译者将此处的“reference”理解为“参考”是完全错误的。

例3:

原文: Upon receipt of written notice of an Event of Default from the non-defaulting party ( uNon-Defaulting Party” ), the Defaulting Party shall have an opportunity to rectify such failure, or, if such default cannot be cured within sixty (60) days, then such additional period as shall be reasonable provided that the Defaulting Party shall have started to cure such default within sixty (60) days and shall continue to cure such default with all due diligence.

原译:违约方收到非违约方的违约事件通知时,应有机会修正该项失误,若此类 违约无法在六十(60)日内加以补救,而违约方应已经在六十(60)日内开始对失误 进行补救并在所有尽职调查后继续补救此类失误,则这一延长期应属合理。

改译:违约方收到非违约方的违约事件通知后,应有机会在六十(60)日内对其 违约进行补救,若此类违约属于无法在六十(60)日内补救完毕的,则应延长为合理 的期限,但前提是违约方已经在六十(60)日内开始对违约进行补救,且在六十(60) 日后继续尽其合理努力予以补救。

分析:本例中,原译者有多处词义理解错误,导致原译文表达不清,离题甚远, 具体表现在:1.将“cured”理解为“补救”;2.将“such”理解为“这一”;3.将“due diligence”理解为”尽职调查二

实际上,本例中的“cured”应采用“补救完毕”之意,后半句的两个“cure”才 是“补救”的意思,否则按原译“无法在六十(60)日内加以补救”,下文又说“违 约方应已经在六十(60)日内开始对失误进行补救”,岂不自相矛盾?只有是“无法 在六十(60)日内补救完毕”,才符合逻辑,前后呼应。“such additional period”中的 “such”一词,也无“这一”之意,因为前后文都没有具体指出多少天才算是“additional period”,因此,此处的“such”指的就是additional period”,省略不译就可。本例 中最大的词义理解错误是将”due diligence”理解为“尽职调查”。“due diligence”最 常见的意思就是“尽职调查”,但此处并非此意。查Blacks Law Dictionary可知,“due diligence,,有两个含义:l.The diligence reasonably expected from, and ordinarily exercised by, a person who seeks to satisfy a legal requirement or to discharge an obligation.2.A prospective buyer*s or broker*s investigation and analysis of a target company, a piece of property, or a newly issued Security o 维基百科对 “due diligence” 词 条的解释是:”Due diligence** is a term used for a number of concepts, involving either an investigation of a business or person prior to signing a contract, or an act with a certain standard of careo根据上下文,我们发现,译为“尽职调查”在此处根本就不合理, 因为全文与尽职调查毫无关系。而采用该词另一个含义就非常合理,因此此处应采用 该词另外一个含义,即“合理的努力(reasonable diligence)”。

(二)句子结构理解错误实例分析

廖瑛(2004)认为:“合同作为一种法律文件,其句式具有周密严谨、冗长复杂 等特点,这主要是因为法律文件具有条理性、周密性。”在合同文本中,“一个句子常 常要照顾到千变万化的情况,自然就长。长句排列组织不好,就容易引起混乱、误解、 歧义”(傅作良,2002)。英文合同中的长句,不一定都是结构复杂的复合句和并列句。 有的简单句也会很长,因为带有较多的分词或短语修饰,也很容易造成理解困难。对 于句子的理解,尤其是复杂长句的理解,成为英文合同文本翻译在原文理解环节中的 一个常见“拦路虎”。

例4:

原文:”Confidential Information^^ means information that relates to the Purpose defined in Section 2 or that, although not related to the Purpose, is nevertheless disclosed as a result of the Parties’ discussions in that regard, and that should reasonably have busn understood by the Recipient、because of legends or other markings, the circumstances of disclosure or the nature of the information itself, to be proprietary and confidential to the Owner or to a third party.

原译:“机密信息”指与本协议第2条所述之协议目的有关的信息,或者虽与该 目的无关,但却因双方讨论该方面而披露的信息,收受方合理理解,通过文字标记或 其他标志、披露情形或信息本身的性质,该等信息属于披露方或第三方专有和机密信 息。

改译:“机密信息”指与本协议第2条所述之协议目的有关的信息(或者虽与该 目的无关,但却属于双方因讨论该目的而披露的信息)以及收受方通过文字标记或其 他标志、披露时的情形或信息本身的性质应合理认为属于披露方或第三方专有和机密 信息的信息。

分析:在本例中,由于原文句子较长,导致原译者对其理解出现偏差,误将后一 个定语从句”that should reasonably have been…”理解为一个单独的句子,因此导致 表达错误。实际上,本句的结构是“… means information that… or that, …, and that 翻译为汉语时应保持这样的结构,即“机密信息指……的信息或……的信息、,以及…… 的信息改译中为了使句子结构更加明晰,将“orthat,…,”用括号的方式予以处理, 这样整个句子就成了 “机密信息指……的信息以及……的信息”,在准确理解原文的 基础上忠实再现了原文的意思。导致原译者理解错误的原因除了句子本身比较长之 夕卜,同样较长的插入语 abecause of legends or other markings, the circumstances of disclosure or the nature of the information itself,”也妨碍 了 译者对句子作出正确的理解。 合同文本中的长句,通常是翻译时的难点。从这个例子可以看出,英文合同的长句中 使用平行结构是常见的手法,有利于“扩充句子内容的容量”,并且“平行结构采取 具体的逐一例举的形式而不采用概括形式,既有条理又能准确无误地表达思想”(顾 维勇,2005:123),符合合同文本严谨准确的行文风格。译者在理解长句过程中,要 熟悉和把握这种风格,从而更好地准确理解和传达原文意图,而切不可马虎了事,草 率按字面意思勉强译成汉语。因为一旦理解出现偏差,无论怎样表达都会偏离原文的 意思,导致误译发生。

例5:

原文:In the event that (i) SELLER breaches any representation, warranty, covenant or other obligation set forth in this AGREEMENT, and fails to cure such breach as promptly as practicable but in any event within thirty (30) calendar days of notice of such breach by BUYER, or (ii) SELLER becomes unable to pay its bills as they become due in the ordinary course, a trustee or receiver of SELLERS property is appointed, the SELLER makes an assignment for the benefit of creditors, a petition in bankruptcy is filed by or against the SELLER or the SELLER terminates or liquidates its business, then BUYER shall be entitled to immediately (a) terminate this AGREEMENT, without any penalty, liability or further obligation therefore or (b) purchase the SERVICES from other suppliers in which case the obligations of BUYER and SELLER hereunder shall be reduced accordingly.

原译:如果(1)卖方违反任何声明、保证、同意或其他本协议的义务,且未能 尽快、在任何情况下不得超过收到买方就该等违约事项发出的通知后日三十(30)日 内纠正该等违约事项,或(2)卖方未能支付正常程序中应向卖方的受托人或财产接 受者、卖方为其债权人所作的转让、起诉卖方或卖方起诉的在审破产诉讼或卖方解除 或清算其业务而应支付的应付款项,则买方有权立即(a)解除本协议,且不承担任 何罚金、责任或进一步义务或(b)向其他供应商采购本协议项下的服务,在此情况 下买方和卖方的义务亦应相应减少。

分析:本句中,原译者的理解错误出现在(ii)这一项下,为便于分析,我们先将 其标上序号: ① SELLER becomes unable to pay its bills as they become due in the ordinary course,② a trustee or receiver of SELLER’S property is appointed,③ the SELLER makes an assignment for the benefit of creditors,④ a petition in bankruptcy is filed by or against the SELLER or ⑤ the SELLER terminates or liquidates its business. M 中,①-⑤是完全并列的5个分句,分别表达了买方可终止协议或转为向其他方采购 的五种卖方可能出现的情形,而原译者未能理解这一并列结构,将其理解为一个情形, 也就是说将并列关系理解为其他各种修饰关系,因此表达出来的中文,无论怎样看, 都难以让人理解。实际上,在理解了这一并列关系后,表达起来就轻松许多,改译中 将这五种情形用顿号隔开,明确、清晰、易懂,忠实再现了原文意图。

例6:

原文: XX’s waiver of any breach or failure to enforce any of the terms and conditions of this License Agreement at any time shall not in any way affect, limit or waive XX’s right thereafter to enforce and compel strict compliance with every term and condition hereof.

原译:XX在任何时间放弃任何违约或不能执行本许可协议的任何条款和条件, 不得以任何方式影响、限制或放弃XX其后执行和强制严格遵守每一条款和条件。

改译:XX任何时间放弃追究YY的违约责任或者未要求YY履行本协议条款和 条件,均不得影响、限制或被视为放弃其后要求丫丫执行并严格遵守本协议条款和条 件的权利。

分析:在本例中,原译者根本没有理解原文想要表达的意思,也没有弄清楚本句 中协议双方的权利义务关系,从而导致字对字的机械翻译,令人不知所云。本句讲的 是“XX”的权利,而译文中好像成了“XX”的义务了。在本句中,“waiver of any breach” 从字面看是“放弃任何违约”,实际上是“放弃(追究合同另一方的)违约(责任)”。

“failure to enforce any of the terms and conditions,f 也不是“不能执行本许可协议的任 何条款和条件”(这一表述有“不能履行其义务”之嫌),而是“未要求(另一方)严 格履行本协议条款和条件”。同理,后面的”enforce and compel strict compliance with” 也不是指“XX”自己“执行和强制严格遵守”,而是指“要求(另一方)执行并严格 遵守”。另外需要指出的是,原文中虽然没有出现协议另一方名称,但为了表述的清 晰明了,改译中根据上下文的需要,补充添加出省略的信息。

(三)缺乏专业知识导致的理解错误实例分析

在对英文合同文本进行理解的这个环节中,要求译者必须有法律方面的相关背景 知识。对于西方法律文化的了解,尤其是法律历史方面知识的了解,有助于快速而准 确地理解合同原文所要传达的意图,从而有助于译者更好地翻译英文合同。

例7:

原文: Each Party acknowledges and agrees that any violation of this Agreement may cause irreparable injury to the other Party for which monetary damages alone may not be an adequate remedy. Therefore, the Parties agree that, in the event of a breach or threatened breach of this Agreement, Owner shall be entitled to seek specific performance and injunctive or other equitable relief as a remedy for any such breach or anticipated breach without the necessity of proving the inadequacy of legal remedies.

原译:每一方承认并同意,任何一方违反本协议均会造成对另一方不可挽回的损 害,仅赔偿金难以充分补救。因此双方同意,若收受方违反或者似将违反本协议,则 披露方有权寻求特定履行、禁令补救或其他公平的补救,无需证明法律补救充分与否。

改译:各方确认并同意,任何一方违反本协议均会造成对另一方不可挽回的损害, 仅赔偿金难以充分救济。因此双方同意,若收受方违反或者似将违反本协议,则披露 方有权寻求强制履行、禁令救济或其他衡平法救济,无需证明普通法救济充分与否。

分析:本例中,“specific performance,\ uequitable relief”及后面的”legal remedies 的译文属于原译者缺乏专业知识而导致的理解错误。”specific performance”是一种救 济方式,指由法院对合同一方发出强制履行的命令,要求该方履行合同义务,类似于 中国合同法中的“实际履行”。因此,译为“强制履行”可谓精确,相较之下,“特定 履行”就会让人不知所云,产生疑问,译文的效果就大打折扣。

如果说将“specific performance”翻译为“特定履行”尚可勉强接受的话,那么 后面关于”equitable relief”和”legal remedies的理解错误就属于完全无法接受的了。

“eq血able relief”是英美法系中的一种救济方式,可译为“衡平法救济”。衡平法 (equity)是现代英美法系的重要组成,和普通法(common law)、制定法(statute) 并称为三大法律渊源,它成为与普通法制度并列的第二大法律体系。因此,原译文中 将“equitable relief”译为“公平的补救”实属专业知识欠缺,由于专业知识欠缺,对 后面的”legal remedies”无法理解也就不难解释了。此处的”legal remedies”并非普 通意义上的“法律救济”,而是与“equitable relief”相对应的“普通法救济”,只有将

“普通法”三个字译出,后面的“无需证明普通法救济充分与否”才具有逻辑上的合 理性。

同样地,如果对于现代英美法系的组成有所了解的话,在下述例7中,把“at law and/or in equity”理解为“普通法和/或衡平法”才是正解。

例8:

分析:法律专业人士一般都了解普通法的救济方法只有损害赔偿,包括金钱赔偿 和返还财产,通常以金钱赔偿为主;衡平法的救济方法则比较多,除了损害赔偿之外, 还有依约履行、禁令等。

根据法律背景知识判断,可以得知“at law and/or inequity”在这里分别指.普通 法(Common Law)和衡平法(Equity)0由于译者不了解英美法律的基本知识,在这 里仅仅将之处理为普通意义上的法律和法律公平原则,偏离了原文意图,导致译文错 误。

例9:

分析:原译者直接将本例中的第二个“consideration”译为“考虑”,说明其不具 备相关的专业知识。实际上,根据百度百科的定义,“consideration是普通法系合同 法中的重要概念,其内涵是一方为换取另一方做某事的承诺而向另一方支付的金钱代 价或得到该种承诺的承诺”,可译为”对价”或”约因”「good and valuable consideration 可译为“有效的对价/约因”,译为“有益且有价值的考虑”实属外行。

(四)正确理解英文合同文本的方法

针对上述在合同文本英汉翻译过程中常见的三类理解阶段的错误案例的分析,英 文合同文本翻译过程中常见的理解错误分别涉及到词语的理解、句子的理解和法律专 业知识和文化背景的理解等层面。

对于合同文本中出现的词语理解问题,译者首先要做到勤查词典,尤其是专业英 英词典。全面考虑英文词汇的各个意思,不可贸然地随意取用其一,尤其注意辨别普 通词汇形态的法律词汇;其次,可以结合上下文辅助理解,利用语境来分析辨别词义; 第三,充分利用各种专业资料和网络资源多方查证词义;最后可以利用逻辑推理来辨 别词义。

遇到英语合同文本中的长句首先要仔细分析句子的内部结构,判断句子的类型; 其次判断句子的主要成分,先将主语和谓语部分区分开来,然后再分别找出句中的定、 状、补等成分;最后要仔细分析和辨别句子不同成分之间的内在逻辑关系。必要时, 还要通读全文,前后对照辅助理解,深入理解原文意图。

法言法语的翻译则还要求译者必须对不同文化背景的法律体系及其文化底蕴有 深刻的理解充分考虑到不同文化在历史积淀、思维方式等方面的异同,加强母语和有 关法律文化功底的修炼,扫清“外行话”障碍。这要求译者在翻译过程中,如遇到不 熟悉的内容,须尽可能地查阅相关资料、多方查证或向内行请教,切忌一知半解,望 文生义。

 

第三章合同文本英汉翻译中常见表达错误实例分析

在翻译实践中,理解和表达两者相辅相成,缺一不可。理解是表达的基础,表达 则是理解的体现。正确地理解原文,并不一定代表能够准确而通顺表达出来。笔者从 合同文本英汉翻译实践案例中撷取并分析若干表达错误或不足的例子,说明合同文本 英汉翻译中所需要达到的准确、通顺、规范的表达效果。

(一)译文择词不当,意义不明晰

由于英汉两种语言存在较大差异,译者在合同文本翻译过程中,往往容易受原文 的句子结构影响,表达出来的译文不符合汉语表述习惯,出现搭配不当,内在逻辑不 明确等问题,容易引起歧义,影响译文传递原文真正意图。

例10:

原文: XX agrees to defend, indemnify, and hold YY harmless from and against any and all damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of the distribution, use or promotion of the XX Wallet.

原译:XX同意,若YY因XX钱包的分销、使用或推广而产生任何损害赔偿、 责任、成本或费用(包括合理的律师费),则XX应向其作出赔偿、为其抗辩并使其 免受损害。

改译:XX同意,若YY因XX钱包的分销、使用或推广而遭致任何损害索偿, 导致承担任何责任,或者发生任何成本或费用(包括合理的律师费),则XX应向其 作出赔偿、为其抗辩并使其免受损害。

分析:原译中,译者直接根据原文,将”any and all damages, liabilities, costs and expenses … arising out of”译为”产生任何损害赔偿、责任、成本或费用”,属于搭配 错误。在该译文中,“产生成本或费用”这一表达没有问题;“产生责任”不甚明确, 读者需要思考、推断才有可能揣摩出原意;“产生损害赔偿”则存在歧义,并未清楚 地表达出究竟是谁对谁的损害赔偿。改译中将这三者分开,分别搭配不同的动词,把 有问题的两个表达分别改为了 “遭致任何损害索偿”(也可改为“遭致/导致承担任何 损害赔偿金”,或者改为“支付任何损害赔偿金”)和“导致承担任何责任”,从而使 句子清晰易懂。

例11:

原文: Notwithanding anything to the contrary herein, this Agreement shall not be construed as conferring any such intellectual property and intellectual property rights, either directly or by implication, estoppel or otherwise between the Parties.

原译:尽管本协议有任何相反规定,本协议均不得被解释为双方可直接或通过默 示、禁止反言等方式相互授予任何此类知识产权。

改译:无论本协议有何相反规定,本协议均不得被解释为双方可直接或通过默示、 禁止反言等方式相互授予任何此类知识产权。

分析:本例是一个让步状语从句。”notwithstanding” 一词在词典中的含义确实是 “尽管、即使、纵然、虽然”等。但在本句中译为“尽管”属于选词不当。因为本句 并未具体指出相反规定。改译中用“无论”则准确地表达出了从句和主句的关系,让 人读起来毫无障碍。

例12:

原文: This Agreement shall be governed by and construed in accordance with the laws of Singapore without regard to any principle of conflicts of law.

原译:本协议受新加坡法律管辖并依其解释,不考虑任何法律冲突原则。

改译:本协议受新加坡法律管辖并依其解释,但不适用任何法律冲突原则。

分析:本例原译中将“without regard to”在这里相当于”without considering”, 译者的理解是正确的,但是将其译为“不考虑”属于主谓搭配不当。因为整个句子的 主语是“本协议”,如果这样翻译,就变成“本协议不考虑……”,不符合中文的表达 规范。即使读者能猜出其所表达的意思,读起来也难免感觉磕磕绊绊。改译为“不适 用”后,句子结构就成了“本协议……不适用……原则”,所要传递的意思清晰明确, 符合中文表达习惯。

例13:

原文:Any dispute, controversy or claim arising out of or in relation to this Agreement and arrangements connected to or being the result of this Agreement, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.

原译:因本协议产生的或与本协议相关的任何争议、争端或索赔,均应根据新加 坡国际仲裁中心当时有效的仲裁规则(下称“SIAC规则”)提交仲裁并最终通过仲裁 解决,SIAC规则以引用的方式纳入本协议。

分析:本例中的”for the time being”意思为”for the present, at the moment”, 一 般译为“暂时、当时、目前”等,原译者在此句中就将其译为“当时”。但这样根据 字面意义处理是有问题的,忽略了本句以及合同文本的逻辑。从逻辑上讲,合同是当 事人通过合意对于其将来权利义务所作的安排,而本句描述的也是将来可能发生的事 情。“当时”是指过去发生某事的时候,用在此处明显属于时态错误。而且,读者读 到此处时就会感觉特别别扭、不通顺。在本例中,“for the time being in force”指的是 “(将来)仲裁时有效的(仲裁规则)”,此处改为“届时”恰如其分,让本来读起来 别扭的句子一下子顺畅了许多。

(二)译文表达欠灵活,可读性不强

英文合同表述缜密严谨,常常大量使用长句和复杂句,这给理解和表达都带来了 一定的困难。译文表达往往拘泥于原文句子结构,要么亦步亦趋臃肿冗长,要么支离 破碎疙疙瘩瘩,都无法取得通顺流畅的表达效果。

例14:

原文:“Affiliate” or “Affiliates” shall mean any corporation, firm, partnership, or other entity, whether de jure or de facto, that directly or indirectly owns, is owned by or is under common ownership with a Party to this Agreement to the extent of at least 50 percent of the equity having the power to vote on or direct the affairs of the entity and any person, firm, partnership, corporation, or other entity actually controlled by, controlling, or under common control with a Party to this Agreement.

原译:“关联公司”应指任何公司、企业、合伙企业或其他实体,它们在法律上 或事实上直接或间接持有本协议一方、被本协议一方持有或在共同的所有权下,持有 指持有50%以上有投票权或决策权的股权,以及任何人、企业、合伙企业、公司或其 他实体,它们实际上被本协议一方控制、控制本协议一方或者与本协议一方共同受控 制。

分析:本例中,原译者基本上理解了这一长句的意思,只是囿于句子太长,难以 通顺地表达出来,最后导致原本非常严谨、庄重的英文长句,译为中文时变得随意、 啰嗦,而且非常不通顺,读起来极不顺畅。改译不仅将各种关系清楚地表达了出来, 而且也追随了原文严谨、庄重的风格,读起来特别顺畅。

例15

原文: This Application Platform Agreement (the “Agreement”) is made as of August XX, 2013 (the “Effective Date”) by and between XX, a Dutch corporation, having a place of business at…, for the purposes of this Agreement also acting for and on behalf of its Affiliates (”XX and XX Affiliates together XX”), and YY, a Chinese corporation, having a place of business at … for the purposes of this Agreement also acting for and on behalf of its Affiliates (YY and YY Affiliates together CCYY^^).

原译:本应用平台协议(下称“本协议”)由位于……的荷兰公司XX,(下称“XX”, 为本协议的目的,“XX”包括其关联公司)和位于……的中国公司YY (下称“YY”, 为本协议的目的,“YY”包括其关联公司)于2013年8月XX日(下称“生效日”) 签署。

分析:本例中,原译者在翻译时试图用一个简单的句子结构(“本协议由…… 和……于……签署”)将原文所有的信息都表达出来,结果导致这个简单句臃肿不堪, 可读性很差。作为协议的开头,好像一下子给了读者一个下马威。原译中将“forthe purposes of this Agreement”译为”为本协议的目的”,更让人摸不着头脑,令原译的 可读性雪上加霜。实际上,将该句中的关键信息分开表述,可读性反而更强,更容易 让人清楚地了解各项信息(改译1)。而改译2索性将原文信息分成了四个关键信息 (协议名称、生效日期、甲方信息、、乙方信息),各自单独列出,更适合中文合同的 表述方式,让人一目了然,不失为一种可取的翻译方法。

(三)译文表述不专业,不符合合同文体特征

英文合同文本中,为了表述的严密性,常常使用小标题、大写字母和特定词语和 句式等手段。这些内容需要仔细处理,其表述风格也要符合合同文本庄重书面的文体 特征。

例16:

原文: Non-Solicitation. During the Term hereof and for a twelve (12)-month period thereafter, neither party shall solicit employ, or attempt to employ, directly or indirectly (whether as employee, consultant or otherwise) any employee of the other party (or any former employee whose employment terminated within the previous twelve (12)-month without the other party’s prior written consent.

原译:无引诱。在本协议期限内及其后十二(12)个月内,任何一方在未经另一方 提前书面同意情况下,均不得直接或间接招揽、试图聘用(包括聘为员工、顾问和其 他职位)另一方任何员工(以及与该方终止劳动关系未超出十二(12)个月的前任员 工)。

改译:禁止招揽对方人员。在本协议期限内及其后十二(12)个月内,任何一方在 未经另一方提前书面同意情况下,均不得直接或间接招揽、试图聘用(包括聘为员工、 顾问和其他职位)另一方任何员工(以及与该方终止劳动关系未超出十二(12)个月的 前任员工)。

分析:本例中,原译者将“Non-Solicitation”按字面意思翻译为“无引诱”,不 符合合同文本庄重性、书面化的文体特征。“无引诱”不仅口语化,而且即使在口语 中都让人感觉不适合。通读该小标题下面的所有内容(见例中所示),我们可以发现 此处的意思是“不允许合同一方随意从另一方处拉人”(“拉人”也是一种口语化的说 法,不适合用于译文中,此处仅用于解释),因此将其改译为“禁止招揽对方人员”, 立刻具有了合同文本所要求的庄重性,而且准确表达了原文意图,给人一种表述极具 专业性的感觉。

例17:

原文: This Software Application License Agreement (the “Agreement“) is entered into on this [DAY] day of [MONTH], 2013 (the “‘Effective Date”), by and between XX, a Chinese corporation with its principal office at … (”XX”) and YY with its principal office at… (”Company“).

原译:本软件应用许可协议(下称“协议”)于2013年 月 日(下称

“生效日”)订立,协议双方为:XX,系一家中国公司,住所地位于……,邮编: 100028 (下称“XX”); YY,住所地位于……(下称“公司”)。

改译:本软件应用许可协议(下称“本协议”)于2013年 月 日(下

称“生效日”)订立,协议双方为:XX,系一家中国公司,住所地位于……,邮编: 100028 (下称“XX”); YY,住所地位于 (下称“YY”)。

分析:在英文合同文本中,Capitalized terms (首字母大写的术语,有时也会整 个词语全部采用大写)是最常见的一类词汇。合同的起草者通过首字母大写这一方 式为这类词汇赋予了特殊的意义,从而将其与一般意义上的词汇区别开来。比如本 例中的”Agreement”、”Effective Date”和”Company”,它们在合同文本中有着特 殊的功能,分别有各自特定的含义。从这些词汇本身来看,它们大多是较为常见的 词语,因此,很容易出现一个合同文本中同时存在首字母大写和非首字母大写两种 形式词语的现象。如何巧妙地区分它们而非仅从字面上对等的角度翻译它们就成了 译者的一项重要任务。

本例中,“Agreement”指的是本协议,而”Company”则指的是签约一方的简 称。原译只是简单地将”Agreement”和”Company”的字面意义翻译了出来,忽 略了它们的特指意义,一旦文中出现非首字母大写的”agreement”和”company”, 就没有办法区分它们,从而给读者带来困扰,严重者还有可能导致合同纠纷。改译 将“Agreement”处理为“本协议”,将其与普通意义的“协议” 一词区分开来,而 对“company”的处理更加灵活,直接采用了公司名称的简称,并在下文统一采用 这一简称,从而在实质上表达出了原文想要表达的含义,甚至在中文版本中更加清 晰。

分析:根据 Nolo’s Plain-English Law Dictionary 中的定义,”Witnessth”是一个法 律术语(Legal jargon),意为”to take notice of”,字面意思是“注意到、留意、作证” 的意思。在英文合同文本中,一般出现在合同首部,其功能相当于是序言或背景介绍。 原译中将其处理为“证明”,仅译出了其词语本身的含义,但并未体现该词的功能, 反而导致译文可读性不强。改译根据其文本功能,将其改译为“序言”或“签约背景”, 用在此处极为贴切。

“whereas” 一般含义为“然而,但是”,但在合同序言部分出现时,一般译为“鉴 于”,由于该词并无实际意义,改译2直接将其省略不译,因前面有“签约背景”一 词做铺垫,省略不译后丝毫不影响原文意思的表达,而且更加简洁明了,也不失为一 种可取的方法。

(四)英文合同文本翻译对策

合同文本属于契约文体,行文严谨缜密,风格正式庄重。在词语的使用上力求准 确,句子结构冗长复杂,语言风格严谨准确,具有法律文本的庄重正式的特点。在英 文合同文本翻译过程中,从以上三个方面着手,解决合同文本中词、句的表达问题, 做到译文准确、通顺、规范,同时体现出合同的契约文体特点。

首先,要重视上下文,避免孤立处理词句。在通读原文的基础上,充分利用语境 和专业背景知识,确定陌生词汇在法律上的概念意义,寻求译语中相对应的表达。从 语体风格上看,选词要正式,尽量避免使口语词语,酌情使用文言虚词和其他书面词 语,体现契约文体的语言风格。

其次,从语境出发,摆脱表层结构的束缚,在准确的基础上灵活处理译文,做到 行文通顺,条理清晰,更具可读性。为了体现严谨和条理,英文合同偏重使用并列句 和复合句,句式往往冗长复杂。汉语合同则恰好相反,句式强调精炼。这要求译者在 正确理解原文意图的情况下,理顺内在逻辑关系,遵循汉语的表达习惯,寻找精炼的 句式进行表达。

第三,译文符合合同的文体特点。在合同中还有一些具有合同文体风格的结构或 手段,如合同首部、小标题和大写字母的运用等等,形成独特的合同文体风格。译者 在深刻理解原文结构和内容实质的情况下,可以大胆灵活地进行处理,跳脱出原文结 构,从更宏观的角度考虑译文的处理,使之更符合中文读者的阅读习惯。如小标题的 处理需要通读整个段落,甚至全文之后,整体把握原文意图的基础上进行翻译;大写 字母的运用,则需要遵循前后一致性原则,体现合同文本的严谨和规范的特点。

总之英文合同的翻译应该兼顾准确严谨和通顺的翻译标准,同时使译文尽量符合 合同的文体特点。如果不正确或不严谨,就有可能使其中一方有机可乘,势必给另一 方造成经济损失和法律纠纷;如果不通顺,译文读者看不明白,就容易引起误解;合 同又有自己的文体特点,好的译文应体现合同的这些特点。

 

结语

合同文本作为法律文书的一种,其翻译标准遵循法律文本翻译的原则。准确性原 则是法律语言的灵魂与生命。所谓准确性,就是要求翻译法律文件应当表达清楚具体。 翻译时应尽量摆脱汉语思维习惯的影响,多注意两种语言在表达上存在的差异,绝对 避免因使用错误的词语而失去准确性,从而产生不同的法律后果。

合同文本的翻译,主要地要做到准确严谨、规范通顺。这要求译者首先做到用词 准确;其次译文必须符合法律语言的特点,尽量体现出契约文体的特点;第三,译文 符合汉语的语法要求,清晰易懂。

合同文本的翻译,要求译者首先做到真正认识合同语言的特点,着重培养正确理 解英文合同原文的能力。其次,由于合同属于法律文本的范畴,而法律文本的翻译往 往是跨语言跨法系的一种活动,英文合同的翻译往往要求译者拥有相关法律领域的知 识和合同涉及项目的专业背景知识。第三,利用多种手段提高自身调查研究和逻辑分 析解决理解问题,培养批判性思维能力,能够准确而通顺地将源语转化为译语。

总之,为了更好地进行合同文本的翻译,译者不仅要有强烈的责任感和足够的专 业知识,而且还应具有良好的双语能力和扎实的翻译理论基础。

Compensation and other material terms and conditions for these services will be agreed upon in advance and set forth in SOW substantially in the form of Exhibit B attached hereto.
  5. Compensation & Expenses.

For the Services and outlays on Client’s behalf Client agrees to pay Agency compensation as follows:

  1. Client shall pay Agency the fee including the value added tax as outlined in Exhibit A (the “Fee”) for the initial project. The fee applies only to work carried out in Beijing. Any additional services over the agreed fee threshold are subject to Client’s prior approval which shall be made, by agreed deadline upon receipt of notice from the Agency. Agency reserves the right to charge for additional fee- in the workload taking place during the duration of this Agreement agreed by the Client. The fees for other SOW’s entered into by the parties are defined individually.
  2. Third-party Expenses. Client shall pay Agency the total third-party expenses inducting the Value Added Tax for the initial project as outlined in Exhibit A. The third-party expenses for other SOW s entered into by the panics are defined individually.

Agency suggests that all third-party expenses are directly billed to Client. In the event direct billing is not commercially possible, Agency reserves the right to pre-bill the third-party expenses. In the event any third-party expenses are paid directly by Agency and has not been pre-billed, or payment is due to the third party vendor prior to the time Agency receives Client’s payment of the pre-*billed amount, such third- party expenses will be paid by Agency first and then Client shall be invoiced for a 17.65% handling fee. The third-party costs plus the handling fee is subject to the Value Added Tax as well.

The third-party expenses include but not limited to: media entertainment/meals, venue rental, caterings hire of equipment, finished art, design/layout, mechanical production, photography, copywriting, printing, display materials, mail-drop services, monitoring of electronic media coverage, typesetting, translation/inteqiretei\ tape/film duplicating services, providers of satellite media tours, outside manpower supports (such as MC) performer, receptionist,. ..etc.): and other services purchased outside of the Agency.

  1. Out-of-pocket expenses (the OOP expenses ). Client shall reimburse Agency for Agency’s reasonable OOP expenses including the Value Added Tax for the initial project as outlined in Exhibit A. The OOP expenses for oilier SOW’s entered into by the parties are defined individually.

The OOP expenses items include but not limited to: messenger services, photocopying and printing, telephone/fax charges, newspaper and magazine subscriptions, press material preparation / distribution, stationery, local transportation, working meals during events and for overtime, 3n party’s tax if not able to provide, necessary government invoice; … etc.All syndicated research conducted on Client’s behalf (e.g., Lexis or Factiva).will be billed to Client at the published list price for such research service.

  1. Agency shall bill Client for the Fees, non-direct-billing third-party expenses: the reimbursable OOF expenses incurred by Agency during each project, and any reconciliation amounts. Payment is due no later than thirty (30) days from the invoice date of due seven days prior the day Agency pays third party vendors when no handling fee will be added to Client iii case of non-direct billing.
  2. In the event that Client does not effect payment pursuant to the provisions contained herein within the time limit, Client shall pay interest at the rate of 1.5% per month on all amounts which are due and payable by Client from the date payment is due up to the date

payment is received by Agency.

However, in no event will the rate charged to Client be higher than the maximum rate allowable under applicable law.

  1. In case of delinquency of Client’s payments or any impairment of Client’s credit as Agency reasonably deems might endanger future payments, Agency reserves the right to change the requirements as to terms of payment under this Agreement Should Client be in default with respect to payment under this Agreement, Agency reserves the right to suspend immediately some or all services hereunder until agreements satisfactory to the Agency are made. Client agrees to reimburse Agency for any costs incurred (including reasonable attorneys1fees and court costs) in connection with Agency’s attempts to collect any sums that are over due.

In the event of a disputed charge, Client shall notify Agency in writing of the disputed amount within fifteen (15) days of the invoice date, specifically identify the reason for the dispute, and pay all undisputed amount owed while the dispute is under negotiation.

In the event of a termination due to Clients failure to pay, Client shall be liable for the obligations set forth in the Section 12 b. and c.

In the, event that Agency suffers losses from the claim or litigation by any third-parties due to the late payment by Client, Client shall compensate Agency for all losses incurred to Agency accordingly.

  1. Terms of Termination.
  2. This Agreement is effective as of the Effective Date first stated above and will continue in full force and effect of the 17th December 2013.Each of the SOW is terminated no later than the date as the Agreement. During any Notice Period of termination of this Agreement, all rights, duties and responsibilities of the parties hereunder will remain in full force and effect and both parties will continue to perform in accordance with this Agreement.
  3. Upon termination of this Agreement, with respect to any program in each SOW that remains incomplete, upon the effect date of termination, Agency will be entitled to receive the fixed Fee set forth in each SOW through the date of termination of the Agreement The entire period during which this Agreement is in effect is referred to herein as, the “Term”.
  4. Upon termination, any materials or services Agency has committed! to purchase for Client shall be paid for within seven (7)days upon receipt of notice from the Agency by Client, and Agency shall receive applicable compensation as outlined herein. Any expenses to be incurred during the Notice Period will require Client-s prior approval for such and Client understands that expense invoicing may occur after the termination date. Agency shall transfer, assign and make available to Client or Client’s representative ail properly and materials in Agency’s possession or control belonging to and paid for by Client, provided that there is no overdue indebtedness then owing by Client to Agency.
  5. Modification of Plans. Client reserves the right to modify, revise, or cancel any plans schedule or work of each SOW, and in the event Client notifies Agency of the change in a
    written format. Agency will take steps as soon as practicable to give effect to Client’s instructions. In connection with any such modification, revision or cancellation, Client agrees to pay Agency according to the terms of this Agreement for any work done, including but not limited to (a) reimbursing Agency for all expenses incurred prior to the effective date of such modification, revision or cancellation; (b) assuming Agency’s liability for all contracts and commitments Agency is unable to cancel; (c) reimbursing Agency for any cancellation penalties incurred, (d) to indemnity,defend, and hold Agency harmless for all Losses (as defined herein) that result from carrying out Client’s instructions, paying Agency for all fees payable.

Such payment shall be made within fourteen (14) days from the date of receipt of Agency’s invoice by the Client.

  1. All notices required under this Agreement shall be in writing and signed by the party delivering such notice and delivered to the Client and the Agency at their respective addresses, via facsimile with electronic confirmation of delivery, or email set forth on the first page of this agreement or in this session. It is being understood and agreed that (i) approval to incur expenses and enter into third party contracts may be provided to Agency via fax, email or set forth in an SOW, project budget, purchase order or similar document delivered to Agency by Client, and (ii) approval to release materials contemplated for release and prepared in connection with the Services (eg., a press release) may be provided via email. Standard Terms & Conditions.

  1. Third Party Contracts. Subject to Client’s prior written consent, Client authorizes Agency, to enter into contracts with third parties (“Authorized Contracts”), as an agent for a disclosed principal, when such contracts are necessary for the Services, the Authorized Contracts shall be deemed as approved by the Client if the Client has no any response to the notice and the authorized contracts from Agency within seven days. Client assumes full liability and responsibility for any expenditures resulting from Authorized Contracts. While Agency shall endeavor to guard against any loss to Client resulting from the failure or improper performance by any third party, Agency shall not be liable or responsible for any such failure or loss. Notwithstanding the foregoing to the contrary, Agency shall not be required to obtain Client’s prior written consent to contract with commercial venues or carriers, including without limitation, hotels or airlines for employee travel, or with any vendors who render general services for Agency in the ordinary course of business, including without limitation, as the third party vendors listed in Session 2 c.
  2. Confidentiality. Bach party (the “Receiving Party^^) will treat as confidential and properly safeguard any and all information, documents, papers, programs and ideas relating to the other party (the “Disclosing Party”), its operations, finances and products, disclosed to the Receiving Party and designated by the Disclosing Party as confidential or which should be reasonably understood to be confidential (“Confidential Information^^). Confidential Information shall not include information that (a) is or falls into the public domain; (b) is disclosed to the Receiving Party by a third party which is not under an obligation of confidentiality to the Disclosing Party; (c) was already known to the Receiving Party; and/or (d) is independently developed by the Receiving Party without reference to Confidential Information. In the event the Receiving Party is requested by a subpoena or other legal process to disclose the Disclosing Party’s Confidential Information, the Receiving Party shall inform die Disclosing Party and shall only provide same when legally compelled to do so after notice lo the Disclosing Party. In the course of performing the Services, Agency may disclose Confidential Information as Client shall have approved for disclosure. This provision shall survive the termination of this Agreement and shall remain in full force and effect for a period of three (3) yearsfollowing the completion of Services.
  3. Ownership: Use Of Materials.
  4. As between Agency and Client, Client shall be sole owner of all rights in and to materials developed and produced by Agency on Client’s behalf, provided Client has paid all invoices due and owing to Agency pursuant to this Agreement. Notwithstanding anything to the contrary herein, Client understands and agrees that its rights in any third party materials or any services including, without limitation, stock photos, licensed materials or talent and talent residuals, are subject to any terms and conditions set forth in any applicable agreement.
  5. Notwithstanding anything in this Agreement to the contrary. Agency retains all of its rights, title and interest in and to (including, without limitation, the unlimited right to use) (i) all materials owned by or licensed to Agency prior to, or independent from, the performance of services under this Agreement, and all modifications, thereof, and (ii) all generic or proprietary information, and all ideas, methodologies, software, applications, processes or procedures used, created or developed by Agency in the general conduct of its business.
  6. Non-Solicitation. During the Term hereof and for a twelve (12Amonthperiod thereafter, neither party shall solicit employ, or attempt to employ, directly or indirectly (whether as employee, consultant or otherwise) any employee of tits other party (or any former employee whose employment terminated within the previous twelve (12Amonth without the other party’s prior written consent. If during the Term hereof or twelve (12)-month thereafter a party engages the services of an employee of the other party without the other party*s prior written consent, the hiring party agrees to pay the other party a fee calculated as thirty percent (30%) of that person’s new annual salary and any other compensation,
  7. Client Obligations. Client shall be responsible for: (a) the accuracy, completeness and propriety of information concerning Clients organization, products, services and Client’s competitors* products and services, whether provided to Agency by Client or by a third party authorized by Client: (b) the accuracy, completeness and propriety of any ideas or directions, whether provided to Agency by Client or by a third party authorized by Client; (c) rights, licenses and permissions to use materials furnished to Agency by Client or by a third party on Client’s behalf; (d) compliance with all laws and regulations applicable to Client’s business (including all securities laws); and (e) the content of any press releases or oilier disseminated statements, information or materials approved by Client
  8. Indemnification.
  9. Client shall defend, indemnify and hold Agency harmless from and against any loss, damage, liability, claim, demand, action, cost and expense (including reasonable attorneys9 fees and costs) (collectively “Loss”) resulting from claims made against Agency by any third party, including any governmental entity, which arise out of or in connection with (i) Client’s obligations under Section 9 above; (ii) information or materials supplied to Agency by Client or a third party authorized by Client; (iii) as a result of any governmental investigation, proceeding or administrative hearing regarding the Services; (iv) any issue of safety, product liability or the nature, use or performance of Client’s products, services or premiums; (v) Client’s failure to pay any and all amounts owed to third parties or any claims raised by third parties against Agency related to Approved Contracts; and (vi) Client’s use of any third party materials in violation of the terms and conditions set forth in the agreements governing the use of such third party materials. Client’s indemnity obligations shall include, without limitation, payment to Agency for any and all personnel time incurred in connection with any such claim, suit, proceeding or subpoena based upon Agency’s then-current hourly rates.
  10. Agency shall indemnify, defend and hold Client harmless for all Loss with respect to any third party claim or action against Client arising out of or in connection with (i) material prepared by Agency on Client’s behalf to the extent it asserts a claim for infringement of copyright, piracy, or plagiarism; or (ii) Agency’s failure to follow Client’s express written instructions. Notwithstanding die foregoing, Agency shall not be liable to Client if any Loss arises out of or in connection with the materials; data or information supplied by Client to Agency, or as a result of Client’s use of any materials, data or information in violation of the terms of any third party agreements relating thereto: in which case Agency’s Indemnity of Client shall not apply, and Client will indemnify, defend and hold Agency harmless for all Loss arising out of or in connection with any such materials, data or information.
  11. Upon the assertion of any claim or the commencement of any suit or proceeding against either party (such party, the “Indemnitee”), that may give rise to liability of the other party (such party, the “Indemnitor”) hereunder, the Indemnitee shall notify the Indemnitor of the existence of such claim and shall give the Indemnitor reasonable opportunity to defend and/or settle the claim at its own expense and with counsel of its own selection. The Indemnitee shall at all times have the right fully lo participate in such defense at its own expense and shall not be obligated, against its consent, to participate in any settlement which it reasonably believes would have an adverse effect on its business. The Indemnitee shall make available to the Indemnitor ail books and records relating to the claim, and the parties agree to render to each other such assistance as may reasonably be requested in order to insure a proper and adequate defense.
  12. This Section 10 shall survive the expiration or termination of this Agreement.
  13. Limitation Of Liability. Except for the indemnity obligations hereunder, in no event whatsoever shall either party be liable to the other hereunder for any incidental, indirect, special, consequential or punitive damages or lost profits under any tort, contract, strict liability or other legal or equitable theory arising out of or pertaining to the subject matter of this Agreement, even if said party has been advised of the possibility of or could have foreseen such damages. This Section 11 shall survive the termination of this Agreement.
  14. Use-of Materials By Third Parties. After material has been issued by Agency to the news media or to another third party, its use is no longer under Agency’s control. Agency cannot assure the use of news, material by any news organization. Similarly, Agency cannot control the form or manner of use by the news media or others of the material, including, but not limited to, the accurate presentation of information supplied by Agency. It is understood and agreed that Agency does not stipulate or guarantee specific or overall results or returns from public relations, publicity, research or any other activity performed by Agency.
  15. Force Maj cure. Neither party shall be liable for any delay or failure to carry out or make continuously available its obligations under this Agreement if such delay or failure is due to any cause beyond such party’s control, including without limitation restrictions of law or regulations, labor disputes, acts of God, acts of terrorism or war, telecommunications, network or power failures or interruptions, or mechanical or electronic breakdowns.
  16. Governing Law. Any controversy or claim arising out of or related to this Agreement shall be governed by the substantive laws of the People’s Republic of China without regard to its conflict of law rules and shall be heard by a court of competent jurisdiction within Beijing, the People’s Republic of China. Both parties irrevocably consent to the jurisdiction of the courts located in Beijing, the People’s Republic of China.
  17. Governing Law; Dispute Resolution:
  18. The validity, interpretation and implementation of this Agreement shall he governed by the laws of the People’s Republic of China.
  19. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be settled through friendly consultations between the parties. In the event Hint no settlement is readied within 30 days from the date of notification by either party to the other that it intends to submit a dispute, controversy or claim to arbitration then such dispute, controversy or claim shall be submitted to die China International Economic and Trade

Arbitration Commission (CIETAC) for arbitration which shall be conducted in accordance with CIETAC arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon the parties.

  1. The place of arbitration shall be Beijing.
  2. The language of the arbitration shall be English.
  3. Notwithstanding the foregoing, the parties agree that each party has the right to seek temporary or permanent injunctive or other similar relief in any court or other authority of competent jurisdiction in respect of any claims of breach of confidentiality or intellectual properly right infringement or for an order of specific performance or other injunctive relief as permitted under applicable laws.
  4. Waiver. No waiver of any provision or of any breach of this Agreement shall constitute a waiver of any other provisions or any other or further breach, and no such waiver shall be effective unless made in writing and signed by an authorized representative of the party to be charged with such a waiver. Nor shall a one-time waiver of a single provision constitute a permanent waiver of that party’s rights under said provision.
  5. Publicity. Agency may use Client’s name and any non-confidential materials produced hereunder in Agency*s portfolio, on Agency*s web site, intranet, and for internal and trade purposes, Agency will be required to obtain Client’s advance approval to utilize Client’s trademarks or any Client materials or information in press releases, Agency brochures, or award submissions.
  6. Entire Agreement: Severability. This Agreement constitutes the parties’ entire understanding of the matters set forth herein and supersedes any prior understanding or agreement concerning the subject matter hereof. This Agreement may only be modified in a writing signed by the parties hereto. In the event that any provision of this Agreement shall be illegal or otherwise unenforceable, such provision shall be severed, and the balance of the Agreement shall continue in full force and effect. The exhibits of this Agreement constitute inseparable parts of this Agreement and have the same effectiveness.
  7. Taxes. Client understands and agrees that Client shall be solely responsible for any sales, use, withholding, value added, or similar tax of any foreign government. Client will pay for duty, appraisal fee, bank charge, or withholding tax which may be levied by any China government authorities and banks in connection with any overseas payment for this Agreement.
  8. Effective. This Agreement shall come into effect upon execution by both Parties9 representatives and with company seals on it or on the date of actual performance by both Parties.

本协议约定由B (下称“代理商”)同意向[客户的法定名称](下称“客户”)提供公 关服务和相关咨询服务,协议生效日为2013年11月8日(下称“生效日”)。

  • .约定服务。

a.代理商应按本协议所附工作说明书(每份简称为“工作说明书”或“SOW”)中 载明的内容向客户提供约定服务。代理商应履行的初始项目见本协议附录A——1号 SOWo

b.其他项目的约定服务和服务费应单独约定,并以SOW的形式附于本协议附录B 中。SOW应连续编号、签署并注明日期,且应遵从于本协议的条款和条件。

C.各SOW中所记载的服务在本协议中合称为“约定服务”。如任何SOW与本协议 之间存在条款的冲突,则以sow中有关于履行该等约定服务的条款为准。

d.此外,代理商将通过自身机构或代理商所委托的其他公司向客户提供多种其他项 目服务。有关该等服务的费用及其他实质性的条款和条件,甲乙双方应提前协商一致, 并应以SOW的形式附于本协议附录B中。

  • .服务费和第三方费用。

对于约定服务和为客户之利益而发生的第三方费用,客户同意按如下条款向代理商支 付:

a.服务费。客户应就初始项目向代理商支付附录A中载明的服务费(包括增值税)。 该服务费仅针对在北京完成的服务。任何超出双方同意的费用限额之外的额外服务应 取决于客户提前同意,客户应在收到代理商发出的有关双方同意的截止时间的通知后 决定是否同意。双方签署的其他sow的服务费应予以分别确定。

b.第三方费用。客户应就初始项目向代理商支付附录A中载明的第三方费用总额 (包括增值税)。双方签署的其他SOW中的第三方费用应予以分别确定。

代理商建议所有第三方费用应向客户直接收取。如果直接收取在商业操作中无法实 现,则代理商保留提前向客户收取第三方费用的权利。如果代理商直接支付了第三方 费用且客户尚未提前支付,或者在代理商收到客户预先支付的第三方费用之前必须向 第三方供应商支付该等费用,则代理商将先支付该第三方费用,然后向客户收取 17.65%的手续费。对于第三方费用和手续费,客户也应支付增值税。

第三方费用包括但不限于:媒体娱乐/餐饮、场地租用、餐饮设施设备租用、定稿、 设计/布局、机械制造、摄影、文案、印刷、展示材料、邮寄服务、电子媒体监测、 排版、翻译/口译、录音/影像复制服务、卫星媒体供应商服务、外部人力支持服务(如 司仪、演员、迎宾等等)及其他向代理商之外的第三方采购的服务等费用。

C.付现费用。对于代理商因附录A所述之初始项目而发生的合理的付现费用,客户 应予以报销。双方签署的其他sow的付现费用应予以分别确定。

付现费用包括但不限于:信使服务、影印及印刷、电话/传真、报刊和杂志订阅、新 闻发布会材料准备/分发、文具、本地交通、工作期间及加班期间的工作餐、不能提 供正式发票时而发生的第三方税收等费用。代客户进行的联合调研(即Lexis或 Factiva)应根据公布的该等调研的价格向客户收取费用。

  • .费用收取。

a.代理商应向客户收取服务费、非直接收取的第三方费用、每一项目中代理商发生 的可报销之付现费用,以及任何对账金额。费用应于发票日起三十(30)日内支付, 在非直接收取费用的情况下,若希望不支付手续费,则客户应于代理商向第三方供应 商付款之前提前七日付款。

b.若客户未在本协议所规定的时限内付款,对于自付款到期日至代理商收到该付款 之日的逾期付款,客户应就该逾期付款按每月1.5%的利率支付逾期利息,但在任何 情况下向客户收取的利率均不得高于适用法律允许的最高利率。

c.若客户存在拖延付款或信用削弱情形,而代理商合理认定者可能会危及客户未来 的付款,则代理商保留变更本协议项下付款条件的权利。若客户就本协议项下的支付 义务违约,则代理商有权立即停止本协议项下的部分或全部服务,直至达成代理商满 意的协议时为止。客户同意,对于代理商因收取逾期费用而发生的任何成本(包括合 理的律师费和诉讼费),客户应予以补偿。

若对费用有争议,则客户应于发票日起十五(15)日内向代理商发出有关争议款项的 书面通知,说明争议原因,并应支付争议协商期间发生的所有无争议之款项。

若因客户未付款而导致本协议终止,则客户应承担本协议第12条b.款和c.款项下的 责任。

若因客户逾期付款导致代理商被任何第三方索偿或起诉,则客户应对代理商因此造成 的所有损失进行赔偿。

4,终止条款。

a.本协议于文首载明之生效日生效,保持完全效力至2013年12月17日。各SOW 不得晚于本协议终止之日终止。在终止本协议之任何通知期内,各方在本协议项下的 所有权利、责任和义务均应保持完全效力,且双方均应继续根据本协议履行各自义务。

b.本协议终止后,对于在终止生效日各SOW项下未完成之任何项目,代理商有权 在本协议终止日后收取SOW中规定的固定费用。本协议生效的完整期间下称“本协 议期限”。

c.本协议终止后,对于代理商承诺为客户采购的任何材料或服务,客户应于收到代 理商发出的通知后七(7)日内予以付款,并应向代理商支付本协议规定的适用赔偿。 对于任何在通知期内将要发生的费用,应取得客户的事先同意,且客户理解该等费用 可在终止日之后开具发票。若客户没有对代理商的逾期欠款,代理商应向客户或客户 的代理人转交、移交并让其获得所有在代理商占有或控制之下的、属于客户或客户已 付款的所有财产和材料。

  • .计划修改。客户有权修改、变更或取消各SOW项下的任何计划进度表或工作, 若客户书面告知代理商相关变动,则代理商应尽快按客户的指示予以实施。对于任何 该等修改、变更或取消,客户同意依照本协议条款就任何已完成的工作向代理商支付 费用,包括但不限于:(a)对代理商在该等修改、变更或取消之前所发生的所有费用 予以报销;(b)承担代理商无法取消的所有合同和承诺中的代理商责任;(c)对代理 商因取消合同而发生的任何罚金予以报销,(d)对于代理商因执行客户指示而发生的 所有损失(定义见本协议)予以赔偿、为其抗辩并使其免受损害,向代理商支付所有 应付费用。

客户应于收到代理商发票后十四(14)日内付款。

  • .通知。本协议项下的所有通知均应采用书面方式并由发送方签署后发送,发送方 式可以是:递送至收受方地址、通过传真(带电子发送确认回执)发送或者通过本协 议首页或本条中所述之电子邮件发送。双方理解并同意:⑴对于费用及与第三方签 订合同的批准可通过传真或电子邮件发送,也可在客户发送给代理商的SOW、项目 预算、订单或类似文档中载明;(11)对于拟发布的有关约定服务之发布材料(如新闻 发布会)的批准可通过电子邮件发送。任何一方的终止通知均应发送至以下相关方的 地址:

  • .语言。本协议以英语文本签署。
  • .副本。本协议一式两(2)份个副本,双方各执一(1)份,两份具有同等法律效 力。

双方授权代表已于本协议文首载明之日签署本协议,特此证明。

标准条款与条件。

  • .第三方合同。经客户事先书面同意后,客户授权代理商担任其显名代理与第三方 签署合同(“授权合同”),在该等合同为约定服务所必需时,若客户在七(7)日内对 于代理商发出的通知及其提供的授权合同没有任何回应,则视为客户已同意该授权合 同。客户应全权承担因第三方合同所发生的所有费用。尽管代理商将尽力保证客户不 因任何第三方违约或不当履约而遭受任何损失,但代理商对该等违约或损失不承担任 何责任。无论前述有任何相反规定,代理商均无需为以下事宜获得客户的事先书面批 准:与商业场所或商业运营商(包括但不限于员工差旅所需的酒店和航空公司)签署 合同;与在通常业务中为代理商提供通用服务的供应商(包括但不限于上文第2条c 款中所述的第三方供应商)。
  • .保密性。就双方而言,对于披露方披露给收受方,并由披露方指明为机密信息或 者应合理视为机密信息的与披露方及其运营、财务和产品相关的所有信息、文档、文 件、规划和想法(下称“机密信息”),收受方均应予以保密,并妥当保管。机密信息 不包括以下信息:(a)已为公众知晓的信息;(b)由对披露方不承担任何保密义务的 第三方披露给收受方的信息;(c)收受方已经知晓的信息;和/或(d)收受方未参考机 密信息而独立开发出的信息。若法院传票或其他法律程序要求收受方披露披露方的机 密信息,则收受方应通知披露方,并应在通知披露方之后仅披露法定范围内的机密信 息。在履行约定服务的过程中,代理商可披露客户本应同意披露的机密信息。本条规 定在本协议终止后继续有效,并应在约定服务结束后三(3)年内保持完全效力。
  • .所有权:材料的使用。

a.在代理商和客户之间,客户应作为代理商代表客户开发和制作的材料的唯一全权 所有者,前提是客户已经向代理商支付本协议规定下的全部应付发票金额。即使本文 有任何相反规定,客户理解并同意:其对任何第三方材料或服务(包括但不限于照片 资料库、许可材料或劳务及其版税)的权利受任何适用协议条款及条件的约束。

b.即使本协议有相反规定,代理商对以下内容保留其所有权利、所有权和权益(包 括但不限于无限使用权):(1)在提供本协议服务之前或独立于本协议服务之外,代理 商拥有或获得许可的所有材料及对其作出的所有变更,及(11)所有通用或专有信息、, 以及代理商在其一般业务操作中使用、创建或开发的创意、方法、软件、应用、流程 或程序。

  • .禁止招揽对方人员。在本协议期限内及其后十二(12)个月内,任何一方在未经 另一方提前书面同意情况下,均不得直接或间接招揽、试图聘用(包括聘为员工、顾 问和其他职位)另一方任何员工(以及与该方终止终止劳动关系未超出十二(12)个月 的前任员工)。若在本协议期限内或该期限后十二(12)个月内,一方在未经另一方 提前书面同意的情况下聘任另一方员工提供服务,则聘用方应向另一方支付该员工新 年薪30%的费用以及任何其他补偿。
  • .客户责任。客户应负责:(a)客户或其授权第三方向代理商提供的有关客户组织、 产品、服务和客户竞争者产品和服务的信息准确、完整、适当;(b)客户或其授权第 三方向代理商提供的任何观点或指示准确、完整、适当;(c)客户或代表客户的第三 方向代理商提供材料使用的权利、授权和批准;(d)履行适用于客户业务的所有法律 法规(包括所有证券法);和(e)经客户批准的任何新闻稿或其他传播性声明、信息 或资料的内容。
  • .赔偿。

a.若因(i)客户上述第9条中的义务;(ii)客户或其授权第三方向代理商提供之信 息或材料;(亩)就约定服务而进行的政府调查、程序或行政听证结果;(iv)客户产品、 服务或酬金存在任何安全问题、产品可靠性问题或者性质、使用或性能问题;(v)客 户未能向第三方支付任何应付款项或者第三方就批准合同而向代理商提起的任何索 赔金额;和(VI)客户使用的任何第三方材料违反本协议对使用此类第三方材料的条 款和条件规定,而导致第三方对代理商提出诉讼,客户应为代理商抗辩,使其免受任 何损失、损害、责任、索赔、要求、诉讼、费用及开支(包括合理的律师费)(统称 “损失”)。客户的赔偿义务包括但不限于,代理商任何工作人员因该等索赔、诉讼、

法律程序或传唤所发生的工时(工时费率以代理商届时生效的费率为准)。

b.代理商应对客户因任何第三方因下述原因:(1)代理商代表客户利益而准备的材 料被指控侵犯版权、隐私权、剽窃;或(2)代理商未能遵照客户的明确书面指示产 生的所有损失,向客户承担赔偿、维护及保证客户不受损害之责。尽管有上述约定, 代理商对于客户向代理商所提供的资料、数据或所产生的或与其有关的,或作为客户 违反任何有关第三方协议而使用任何材料、数据或信息的结果而产生的损失不承担责 任,在该等情况下代理人向客户赔偿之责任应不适用,且客户应对与该等材料、数据 或信息有关的所有损失,向代理商承担赔偿、维护及保证代理商不受损害之责。

c.自声明索偿或针对任何一方(该缔约方,为“受偿方”)的任何诉讼或庭审伊始, 另一方(该缔约方,为“赔偿方”)可能有赔偿之责,受偿方应向赔偿方通知该索偿 之存在并给予赔偿方合理机会用以维权和/或自费与其选定的律师解决该索偿。受偿 方应有权自费完全参与该维权且无义务违反其意志参与任何其认为将对其商务产生 不利影响之任何处理。受偿方应向赔偿方提供所有与索偿有关的账簿及记录,且为适 当和充分维权之目的,双方同意向对方提供合理要求之协助。

d.本第10条应在本协议到期或终止后继续有效。

  • .责任限制。除本协议规定之赔偿义务以外,对于因侵权行为、合同、严格责任或 与本协议标的物相关的其他法律或衡平法理论而导致任何偶然、间接、特别、后果性 或惩罚性赔偿或利润损失,任何一方均不对另一方承担责任,即使该方已经被告知可 能存在上述损失或已经预见上述损失。本第11条应在本协议终止后继续有效。
  • .第三方对材料之使用。代理商向新闻媒体或另一第三方分发材料之后,代理商无 法掌控其使用。代理商无法确定任何新闻组织使用该新闻、材料。同样,代理商也无 法掌控新闻媒体或他方对材料的使用方式,包括但不限于代理商对信息的准确呈现。 双方谅解并同意,代理商不明确表示或保证代理商的公共关系、公共宣传、研究或其 他活动会带来具体或全面收效或回报。
  • .不可抗力。如因超出任何一方控制的原因,包括但不限于法律法规限制、劳工纠 纷、天灾、恐怖主义行为或战争、电信、网络或电力故障或中断或机械或电子故障, 而导致任何延误,或未能履行或持续履行本协议规定之义务,该方都不应承担责任。

10管辖法律。本协议所产生的或与本协议相关的任何争议或起诉应由中华人民共和 国法律管辖,不适用其冲突规范,且应由有管辖权之中华人民共和国北京市法院进行 审理。双方对于中华人民共和国北京市司法辖区的法院管辖做出不可撤销之同意。

  • .管辖法律;争议解决:

a.本协议之效力、解释和履行应由中华人民共和国法律管辖。

b.本协议所产生的或与本协议有关的任何争议、异议或索偿,包括其存在性、有效 性或终止的任何问题,应由双方友好协商解决。如任何一方向另一方发出欲将争议、 异议或索偿付诸仲裁之通知30日内无法解决,则该等争议、异议或索偿将被提交于 中国国际经济和贸易仲裁委员会(CIETAC)进行仲裁,该机构将根据当时有效的仲 裁规则进行仲裁。仲裁裁决是终局的且对双方都有效。

c.仲裁地点为北京。

d.仲裁语言为英语。

e.尽管有上述约定,缔约双方同意任何一方有权就违反保密义务或侵犯知识产权或 为取得特定履行或其他在可适用法律允许的禁令终止有关的诉请,在有管辖权之司法 辖区的任何法院寻求暂时或永久的禁令或其他类似救济。

  • .弃权条款。放弃本协议任何条款或对违反本协议的追究,不得构成放弃其他条款 或对其他或进一步违约行为的追究,上述放弃只有以书面形式并由弃权一方授权代表 签署后才可生效。对单个条款的一次性弃权不得构成对此条款下该方权利的永久放 弃。
  • .公开性。代理商有权以内部及交易之目的,在代理商公文包、代理商网站、互联 网上使用客户名称及任何本协议项下的非保密性材料。代理商将被要求获得客户的事 先同意以在新闻发布会、代理商手册中或授奖中使用客户的商标或任何其他客户材料 或信息。
  • .完整协议:可分性。本协议构成缔约方对于协议项下事项的完整协议且优先于先 前签订的与本协议之标的有关的任何谅解书或协议。本协议仅能由缔约方书面进行修 改。如本协议项下的任何条款非法或不可执行,该等条款应被剔除,且本协议其他条 款应继续有效。本协议附录为本协议之不可分割组成部分,具有同等法律效力。
  • .税费。客户理解并同意客户应承担任何销售税、使用税、预提税、增值税或外国 政府所征收的类似税。客户应支付中国政府机构和银行可能就本协议项下的海外支付 所产生的关税、评估费、银行费用或预提税。
  • .生效。本协议应在双方代表签署,且加盖公司印章于双方实际履行日生效。

A and B Application Platform Agreement

This Application Platform Agreement (the ccAgreement ,) is made as of August XY, 2013 (the Effective Date“) by and between B., a Dutch corporation, having a place of business at XX, for the purposes of this Agreement also acting for and on behalf of its Affiliates (“B and B Affiliates together B^), and A, a Chinease corporation, having a place of business at YY for the purposes of this Agreement also acting for and on behalf of its Affiliates (China A and China A Affiliates together “A’) Each of B and A are referred to individually as a “Party“ and collectively as the “Parties”.

Whereas:

  • B develops, operates and markets a Regional TSM Hub Services in China.
  • A markets the A Wallet using eSEs available in multiple OEM mobile devices.

(iii)The Parties desire to (1) market and commercialise the A Wallet to multiple OEMs and (2) issue the A Wallet to multiple OEMs’ mobile devices with eSEs.

(iv) Under this Agreement, B will not transfer ownership, license or otherwise provide any software, technology, data or services to A.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereto agree as follows:

  1. In addition to other terms defined elsewhere in this Agreement, the following terms, when the first letter is capitalized, shall have the meanings set forth below.

“Application Platform^^ means a hardware architecture and a software framework where the combination allows secure NFC applications to run on eSE equipped mobile devices.lt comprises (1) B’s Regional TSM Hub (2) OEMs’ SE TSM or KMS.

“A Wallet” shall mean A “Mobile Wallet“ service which has China A electronics cash function based on PBOC applet installed into customer’s NFC phone with secure element and its related mobile wallet client application.

“PBOC Applet” shall mean the Javacard Applet satisfy “IC Card Standard for China Banking and Finance^^ which is published by People’s Bank Of China.

“Embedded Secure Element” or “eSE” means a smart card IC that (i) is directly or indirectly attached to the NFC IC, and (ii) is not removable.

cceSE Access Fee“ shall have the meaning as defined in clause 5.1.

“Mobile OEM” means those mobile devices manufacturers defined in the Mobile OEM list (Appendix I)

“B RTSM Hub” means a hub service operated by B which aggregates multiple SE TSMs and KMSs in a given Territory.

“Mobile OEM Proposal Management“ means the activity of collecting Service Provider application launch requirements and defining a comprehensive service offer to meet those requirements.

“Original Equipment Manufacturer” or “OEM” means a company that purchases components that can include SE’s and combines these components to assemble and sell completed mobile devices such as smart phones, tablets and other mobile devices.

“SE TSM” means a trusted service manager platform which generally manages the use cases and access to the Secure Element for the purpose of creating sub-domains on the Secure Element for service providers and optionally loading applets on the Secure Element.

“KMS” means an OEM operated system which works as SE TSM to generate and distribute Service Initialize Keys to the B RTSM Hub.

“Secure Element” or “SE” means tamper proof integrated circuit capable of hosting embedded contactless and NFC-related applets (e.g.payment, coupon, access control and/or transport) with the required level of security and features. The SE is available in several form factors: SIM Cards, embedded SE’s and SD Cards.

“Term” means the effective period of this Agreement, as defined in Section 9.

“Territory“ means the region where a mobile device consumer can activate and use A Wallet application.

In accordance with this Agreement B and A will market and commercialize the A Wallet to multiple OEMs in the Territory of China.

  1. Contributions of the Parties.

B and A agree to collaborate in providing the benefit of their capabilities. The Parties agree and undertake to make the following contributions:

  • Sales and Marketing.
    • B’s Roles and Responsibilities.

B will target and engage a limited, named list of Mobile OEMs who are interested to (1) integrate their SE-TSM or KMS with the B RTSM Hub and (2) have the capability to issue the A Wallet via the B RTSM Hub. The named list of Mobile OEMs is defined in Appendix 1.

B will manage the OEM Proposal Management and communication toward OEMs. Only B and the Mobile OEM will together specify the Mobile OEM dev ices on which the A Wallet will be implemented without further need of approval by A.

B will undertake pricing negotiation directly with Mobile OEMs on behalf of A.

B will assume Product Marketing responsibility for the B RTSM Hub towards Mobile OEMs.

  • A’s Roles and Responsibilities.

Notwithstanding B’s responsibility defined in Clause 3.5.below, A will be solely responsible for the A Wallet in all aspects, including but not limited to the marketing, distribution, content, functioning, accessibility, complaint handling and customer handling and will provide all related services to their customers.

B will support OEMs to manage device level certification approvals that are required for the Focus OEM mobile devices.

  • A Wallet Development.

A is responsible for the development of the A Wallet.B will provide technical support to A to develop the A Wallet.

  • OEM mobile device Development.

B develops, integrates and supports NFC SW directly with OEMs.

  • Consumer Customer Support.

B will discuss with A to provide reasonable technical support to A for its after sales customer services.

  • Billing and revenue collection.

B will manage the billing and revenue collection of eSE Access Fees directly from A.At the beginning of every month, B will provide A with a report summarizing the number of new activations of the PBOC applet in a given month (“Activation Report”).A shall immediately but in any case not later than within [to be discussed\ working days of receipt of the Activation Report raise any objections with regard to its accuracy, failure of which shall be deemed acceptance of the Activation Report.Based on the Activation report, B will issue an invoice with the eSe Access Fees due to B.A shall make payment within 15 days of receipt of the invoice.

B will manage the billing and revenue share of eSE Access Fees directly to OEMs.

Each Party shall bear its own costs in connection with the carrying out of the contributions defined in section 3 above unless stated otherwise hereunder.

  1. Business Model.
    • The “eSE Access Fee“ is the payment mechanism agreed with Ato compensate both (1) B and (2) an OEM.The eSE Access Fees is a onetime fee per PBOC applet activation.
    • For all of the Mobile OEMs listed in Appendix 1, A will pay B an eSE Access Fee per PBOC applet activation of the A Wallet per OEM mobile device as defined for each Mobile OEM in Appendix 1.
  2. Market Development.

B will promote the A Wallet to additional OEMs – beyond the Mobile OEMs listed in Appendix 1 – with the goal of preloading the A Wallet onto the OEM’s mobile device.

B will make commercial introductions between A and the decision makers of those same additional OEMs.

The Parties have on [to be added} 2013 agreed on a Non-Disclosure Agreement which is hereby referenced and incorporated into this Agreement.

  1. In connection with this Agreement, each Party may exercise its rights through and satisfy its obligations through its Affiliates. In addition, each Party may share Confidential Information (of the other Party) with its Affiliates only on a strict “need to know“ basis. Each Party shall be liable for any failure of its Affiliates to abide by the provisions of this Agreement as if such failure was the act or omission of such Party.
  2. Term and Termination.
    • This Agreement shall commence on the Effective Date and shall remain in effect until terminated as provided in this Section 9 (the “Term”).
    • Termination for Breach. Upon receipt of written notice of an Event of Default from the non-defaulting party f”Non-Defaulting Party”), the Defaulting Party shall have an opportunity to rectify such failure, or, if such default cannot be cured within sixty (60) days, then such additional period as shall be reasonable provided that the Defaulting Party shall have started to cure such default within sixty (60) days and shall continue to cure such default with all due diligence.Either Party may terminate this Agreement immediately, upon written notice to the other Party, if the other Party breaches any material provision of this Agreement and does not cure such breach within sixty (60) days from written notice of such breach.
    • Termination for Convenience. Commencing three (3) years after the Effective Date, either Party may terminate this Agreement for convenience by giving one hundred and twenty (120) days written notice to the other Party.
    • Effect of Termination. All defined terms shall survive any termination of this Agreement. All other rights and obligations under this Agreement shall immediately terminate upon any termination of this Agreement.
  3. Liability for A Wallet and Indemnification.
    • B is only enabling access to the A Wallet by customers of A using an OEM mobile device. B shall therefore not have any liability to A or any other third party for the content, performance or any other aspect relating to the A Wallet.
    • A agrees to defend, indemnify, and hold B harmless from and against any and all damages, liabilities, costs and expenses (including reasonable attorneys9fees) arising out of the distribution, use or promotion of the A Wallet.
    • A shall further defend, indemnify and hold B harmless from and against any and all damages, liabilities, costs and expenses (including reasonable attorneys9fees) arising out of any claim or allegation that the A Wallet infringes any intellectual property right of a third party.
  4. Limitation of Liability.
    • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT; AND NEITHER PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT SHALL FOR ALL EVENTS OCCURING DURING A CALENDAR YEAR NOT EXCEEDTHE FEES ACTUALLY PAID BY A TO B IN THE TWELVE (12) MONTHS IMMEDIATLEY PRECEEDING THE EVENT.
    • Clause 11.1.shall not apply in case of A’S obligation to indemnify B under Clause 10.3.
  5. Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of Singapore without regard to any principle of conflicts of law. Any dispute, controversy or claim arising out of or in relation to this Agreement and arrangements connected to or being the result of this Agreement, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules**) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The arbitral tribunal shall consist of three (3) members. The arbitral proceedings shall be conducted in the English language.
    • Each Party remains the owner of all its technology, know-how and other intellectual property as well as all of its intellectual property rights, all existing at the Effective Date and/or generated thereafter. Notwithstanding anything to the contrary herein, this Agreement shall not be construed as conferring any such intellectual property and intellectual property rights, either directly or by implication, estoppel or otherwise between the Parties.
    • Neither Party shall assign or transfer this Agreement, or any of its rights or obligations under this Agreement, without the prior written consent of the other Party; provided, however, that each Party may assign this Agreement to its Affiliate or to a successor of all or substantially all of the assets of such Party, if the Affiliate or successor (as applicable) expressly assumes in writing the terms, conditions and obligations of such Party hereunder. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. Any attempted assignment other than in strict compliance with this Section 13.1 shall be void.
    • The Parties acknowledge that a breach of this Agreement may cause irreparable damage for which recovery of money damages would be inadequate, and that, in addition to other remedies available at law and equity, each Party shall be entitled to seek injunctive relief to protect its rights under this Agreement.
    • The execution, delivery, and performance by the Parties of this Agreement has been duly authorized by all necessary corporate action and each individual executing this Agreement. Each Party represents that it has full power and authority to enter into and perform its obligations under this Agreement and that this Agreement constitutes the valid and binding obligations of such Party.
    • In the event that any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision shall be deemed amended to achieve the economic effect of the intent of the Parties in a valid, lawful and enforceable manner, or if not possible then deleted and ineffective to the extent thereof, without affecting any other provision of this Agreement.
    • This Agreement constitutes the entire agreement regarding the subject matter hereof and supersedes all prior agreements, understandings and communications, oral and written, between the Parties regarding the subject matter hereof.
    • The Parties recognize the dynamic and emerging nature of the current Application Platform market and will therefore consider reasonable change requests identified by either Party and shall in good faith discuss and implement any such reasonable change request in the Agreement.

IN WITNESS WHEREOF, the Parties have executed this Agreement by their duly authorized officers as of the Effective Date.

A银行与B公司之应用平台协议

本应用平台协议(下称本协议”)于2013年8月XY日(下称生效日”)签署, 协议双方为:B, 一家荷兰公司,地址:XX (下称“2”,在本协议中,“2”包括其 关联公司);A, 一家中国公司,地址:YY (下称“衣”,在本协议中,“A”包括其关 联公司)。B和A各自称为“一方”,统称为“双方”。

鉴于:

  • B在中国开发、运营并推广区域TSM集线器服务。
  • A利用多种OEM移动设备中的eSE推广A钱包(A银行手机钱包)。

(亩)双方有意:(1)向多家OEM推广A钱包并使其商品化,(2)针对多家OEM的 配有eSE的移动设备发布A钱包。

(iv)根据本协议,B不向A转让所有权,授予许可或提供任何软件、技术、数据或 服务。

因此,基于双方在本协议项下所作的相互承诺与合意,经充分协商,双方协议如下:

  • .定义。除了在本协议其他部分定义的其他术语外,以下术语定义如下。

“应用平台”指硬件架构和软件框架的组合,可确保NFC应用在配置有eSE的移动 设备上运行。其包括:(1)B的区域TSM集线器,和(2)0£\1的$£1$\1或1^$。

“A钱包”指A银行手机钱包服务,该服务具有A银行的电子现金功能,此功能基 于内置于消费者带安全元件的NFC手机中的PBOC Applet (中国人民银行应用程序) 及其相关手机钱包客户端应用程序。

“PBOC Applet”指符合中国人民银行发布的《中国金融集成电路(IC)卡规范》的 Javacard小应用程序。

“嵌入式安全元件(eSE)”指可以⑴直接或间接附加至NFC IC上,且(n)不可卸 载的智能IC卡。

“eSE使用费”定义见5.1。

“移动设备OEM”指移动设备OEM名单中定义的移动设备生产企业(附录1)

“BRTSM集线器”指在某一适用区域内由B运营的将多种SETSM及KMS整合的集 线器服务。

“移动设备OEM建议管理”指以下活动:收集服务提供商的应用发布需求、定义满 足这些需求的综合服务。

“原始设备制造商(OEM)”购买包含SE的组件、将这些组件装配至移动设备成品(如 智能手机、平板电脑和其他移动设备)并将其出售的公司。

“SETSM”指信托服务管理器平台,其通常管理安全元件的使用情况并对其进行访 问,以便为服务提供方创建安全元件的子域,并视情况在安全元件上加载小应用程序。

“KMS”指OEM运营的系统,其工作类似SETSM,旨在生成服务初始秘钥并向B RTSM集线器进行分配。

“安全元件(SE)”指防篡改集成电路,其能够以所需的安全和特性水平托管嵌入非接 触和NFC有关的小应用程序(例如:支付、返券、访问控制和/或交通)。SE具有多 种类型:SIM卡、嵌入式SE以及SD卡。

  • .范围。

根据本协议,B与A将在中国的适用区域向多家OEM推广A钱包并使其商品化。

  • .双方贡献。

B与A同意在各自能力范围内开展互利合作。双方同意并承诺做出以下贡献:

  • 销售与营销。
    • B的责任和义务。

B应就有意从事以下业务的移动设备OEM制作一份不完全名单:(1)将B RTSM集 线器集成至其SE-TSM或KMS, (2)通过B RTSM集线器发布A钱包。移动设备 OEM名单见附录1.

B应负责OEM建议的管理并就其与OEM沟通。仅B和移动设备OEM就可指定配 置A钱包的移动设备,无需再获得A的批准。

B应代表A直接与移动设备OEM进行价格谈判。

B应负责向移动设备OEM推广BTRSM集线器产品。

  • A的责任和义务。

尽管有下文3.5中规定的B责任,A仍应独自承担A钱包的所有方面的责任(包括但 不限于营销、分销、内容、功能、可用性、投诉处理以及客户服务),并负责向其消 费者提供所有相关服务。

  • 认证。

B应向OEM提供支持,以助其取得重点OEM移动设备所需的认证。

  • A钱包开发。

A负责A钱包的开发。B应向A提供A钱包开发方面的技术支持。

  • OEM移动设备开发。

B直接与OEM合作进行NFC SW的开发、集成和支持业务。

  • 客户支持。

B将与A协商,以便就A的售后服务向其提供合理的技术支持。

  • 开单和费用收取。

B应直接向A开单并收取eSE使用费。每个月初,B应向A提供给定月内PBOC Applet 新激活数量的汇总报告(下称“激活报告”)。A应于收到激活报告后[待讨论]个工作日 内就其准确性提出异议,否则视为接受该激活报告。B应基于激活报告开具eSE使用 费发票。A应于收到发票后15日内支付。

B应直接向OEM开单并支付eSE使用费份额。

  • .成本。

除本协议另有规定外,双方应自费作出本协议第3条所述之贡献。

  • .业务模式。
    • “eSE使用费”是A同意的向(1) B以及(2) OEM付费的机制。eSE使用费指 PBOC Applet每次激活的一次性费用。
    • 对于附录1列出的所有移动设备OEM, A应分别向其支付每个OEM移动设备上 A钱包PBOC Applet每次激活的eSE使用费。
  • .市场开发。

B应向其他OEM (非附录1中所列移动设备OEM)推广A钱包,目标是在OEM移 动设备中预载A钱包。

B应在A以及上述其他OEM的决策者之间作相互商业推广。

  • .保密。

双方于2013年[待添加]就保密协议达成一致意见,该保密协议以引用方式纳入本协 议。

8关联公司。

任何一方均可通过其关联公司行使其在本协议项下以及履行其在本协议项下的义务。 此外,任何一方均可尽在严格的“有必要知晓”的情形下与其关联公司共享(另一方 的)机密信息。任何一方均应承担其关联公司遵守本协议条款的责任,关联公司未遵 守本协议的,视为该方的作为或不作为。

 

9协议期限和终止。

  • 协议期限本协议自生效日起生效,效力持续至依照本协议第9条规定终止之日 (下称“协议期限”)。
  • 违约终止。若一方违反本协议任何实质性条款且在另一方发出违约书面通知后六 十(60)天内未能予以补救,则另一方可书面通知该方后立即终止本协议。
  • 任意终止。自生效日起三(3)年后,任何一方均可提前一百二十(120)天向另一方 发出书面通知任意终止本协议。
  • 终止效力。指定条款在本协议终止后仍有效。本协议规定的其他权利和义务在本 协议终止后应立即终止。
  1. A钱包的责任,赔偿。
  • B仅允许A客户在使用OEM移动设备时访问A。因此,B不因A钱包的内容、 性能或其他任何方面对A或第三方负责。
  • A同意,若B因A钱包的分销、使用或推广而产生任何损害赔偿、责任、成本 和费用(包括合理的律师费),则A应向其作出赔偿、为其抗辩并使其免受损害。
  • 若因第三方主张A钱包侵犯其知识产权而导致B产生任何损害赔偿、责任、成 本和费用(包括合理的律师费),则A也应向其作出赔偿、为其抗辩并使其免受损害。

1L有限责任。

111任何一方均无需因本协议而导致的任何间接、特殊、偶然、衍生、惩戒或惩罚性 损害赔偿负责;任何一方在自然年内因本协议而产生的责任总额不得超过责任事件之 前十二(12)个月内A向B支付的实际费用。

11.2.11.1款不适用于10.3所述之A向B赔偿之义务。

  • .准据法和争议解决。本协议受新加坡法律管辖并依其解释,但不适用于其冲突法 原则。因本协议产生的或与本协议相关的任何争议、争端或索赔,均应根据届时有效 的新加坡国际仲裁中心仲裁规则(下称“SIAC规则”)提交仲裁并最终通过仲裁解决, SIAC规则以引用的方式纳入本协议。

仲裁法庭应由三(3)名仲裁员组成。仲裁程序应以英语进行。

  • . 一般条款。
    • 任何一方均保留对其生效日当日已存在和/或其后产生的所有技术、专业知识以 及其他知识产权和所有知识产权的所有权。无论有何相反规定,本协议均不得被解释 为双方可直接或通过默示、禁止反言等方式相互授予任何此类知识产权。
    • 任何一方在未获得另一方书面同意的情况下,均不得转让或让渡本协议、本协 议任何权利或义务;但若关联公司或承继方(若有)以书面形式明确表示接受本协议 条款、条件和义务,则一方可转让本协议至其关联公司或该方所有资产或所有实体资 产的承继方。在符合前述规定的前提下,本协议对双方均有约束力,且双方权益分别 及于各方及其各自的承继方和允许的受让人。未严格遵守1规定的任何转让均为 无效。
    • 双方确认,违反本协议可导致用金钱也无法充分弥补的损害,而且除了根据普通 法和衡平法做出的其他补偿外,任何一方均有权寻求禁令救济以保护本协议规定的其 权利。
    • 双方对本协议的签署、交付以及履行均已获得所有必需的公司流程和本协议各签 署人的正式授权。双方均声明:其拥有签署本协议、履行本协议义务的权力和权限, 且本协议对其具有约束力。
    • 若本协议的任何条款被裁定为无效、不合法或不可执行,则该等条款应视为按双 方的经济效益意图已修订为有效、合法且可执行的条款,若不可行,则应视为在不影 响本协议其他任何条款的情况下删除使其无效。
    • 本协议构成双方关于本协议标的的完整合意,并取代双方之前关于本协议标的的 所有口头和书面协议、谅解和沟通。
    • 双方认可当前应用平台市场不断变化、不断推陈出新的性质,并将考虑任何一方 提出的合理更改请求,并将诚心诚意地讨论和实施任何本协议内的此类合理更改请 求。

双方已于生效日起由其正式授权人员签署本协议,特此证明。
